Growth Capital Raise – We lead a confidential process to find attractive growth capital financing for your business for growth by leveraging our industry experience, transaction expertise, and extensive network of venture capital, private equity and corporate strategic investor relationships.
“Dual Track” Process – Some clients wish to assess both a capital raise as well as sale of the business in parallel, then pursue the best alternative based on the proposals received. This is a common process called a “dual track.” We lead the process end-to-end.
Confidential Sale Process – We run a confidential process to find multiple corporate strategic acquirers and/or private equity partners to acquire the business, seeking the most attractive proposals for our clients. This intensive process includes preparing the company for sale, identifying the best potential acquirers, targeted buyer outreach, review and assessment of proposals, valuation, structuring, due diligence and negotiations. This is the best way to maximize value and increase the probability of getting a deal done.
Exclusive Negotiations – Often we are brought in after a company has received an unsolicited offer. We help the client assess the proposal and potential alternatives, then can either assist in the exclusive negotiations to help the client get the best deal possible and/or run a broader process to generate additional buyers thereby increasing negotiating leverage.
Recapitalizations (Partial Sale of the Company) – Founders and/or certain shareholders may seek liquidity for wealth planning purposes but do not wish to sell the entire business. We run a process to raise capital to provide this liquidity while allowing existing management to continue running the business. This is often called a “recapitalization.”
Secondary Share Sale – For emerging growth companies, sometimes one or more founders or early shareholders may seek liquidity and return on investment before the company is ready to sell or go public. We identify institutional buyers who may be interested in buying into the business, and facilitate the transaction achieving the most attractive value and terms for the seller.
Buy-Side Acquisition Advisory – We lead the end-to-end acquisition process including strategic and financial analysis, valuation, proposal development, structuring, due diligence and negotiations.
Acquisition Strategy – Some clients want to pursue growth through acquisitions, but are not sure where to start. We can provide a strategic review of growth opportunities, acquisition target identification, value creation drivers and metrics, as well as insights on integration strategy.
Management Buyouts – Management teams may seek to acquire controlling ownership from the original founder or corporate parent via a management buyout (“MBO”). We work in tandem with the MBO team during this challenging process to raise the necessary capital and execute the buyout transaction.
Corporate Financial Support – Provide a “strategic CFO” view, to help clients find and execute solutions for specific capital structure or operational issues.
Review of Strategic Alternatives – Provide an independent, candid assessment of liquidity “exit strategy,” growth opportunities, partnerships, acquisitions or restructuring alternatives.
